Bonds.com Announces Effectiveness of S-1 Registration Statement for Resale of Shares by Selling Stockholders
BOCA RATON, Fla.-(Business Wire)-July 4, 2008 - Bonds.com Group, Inc. (the "Company") (OTC BB: BDCG) through its subsidiary Bonds.com, Inc., provider of an innovative comprehensive online trading platform providing execution, liquidity and competitive pricing to the fragmented fixed income marketplace, announced today that on July 3, 2008, the Securities and Exchange Commission declared effective the Company's registration statement on Form S-1 relating to resale of up to 16,969,550 shares (including up to 4,942,264 shares issuable upon exercise of common stock purchase warrants; exercise price of $0.66 per share) of the Company's common stock, par value $0.0001 per share, by certain selling stockholders. The Company was required to register these shares due to commitments it made in connection with the issuance of $4.35 million in equity financing to certain institutional investors and other high net worth individuals.
Bonds.com has approximately 60,932,551 shares of common stock outstanding and approximately 67,767,627 shares outstanding on a fully diluted basis.
The resale registration statement, while effective, allows selling stockholders to publicly resell their shares of Bonds.com Group, Inc. common stock, subject to the satisfaction by selling stockholders of the prospectus delivery requirements of the Securities Act of 1933, as amended, in connection with any such resale. The Company's founders and principal stockholders' shares are not included in the resale registration statement.
The Company will not receive any proceeds from any sales by selling stockholders, but will receive the proceeds from the exercise of warrants held by selling stockholders, if exercised.
