EMRISE Corporation's Annual Shareholders' Meeting Announcement
RANCHO CUCAMONGA, Calif.-(Business Wire)-June 18, 2008 - EMRISE CORPORATION (NYSE Arca:ERI), a multi-national manufacturer of defense, aerospace and industrial electronic devices and communications equipment, today announced its annual stockholders' meeting to be held on Tuesday, June 24, 2008 at 1:00 p.m. EDT (10:00 a.m. PDT) at the Company's corporate offices located at 9485 Haven Avenue, Suite 100, Rancho Cucamonga, California. For those attending the stockholders' meeting in-person, please note that there is construction going on in the area of our corporate headquarters, which will require attendees to park in the parking lot behind our building and use the rear entrance to our corporate offices. Signs will be posted accordingly.
Stockholders unable to attend will be able to participate in the meeting via conference call or via live webcast. Management intends to utilize a power point presentation at the meeting, which may include charts and graphs intended to enhance management's remarks. Accordingly, where possible, shareholders are encouraged to participate online via the webcast in order to view these charts.
The purpose of the meeting is for the stockholders of record as of the close of business on April 24, 2008:
1. To elect Carmine T. Oliva and Richard E. Mahmarian as Class III directors to serve a three-year term.
2. To consider and vote upon a proposal to ratify the selection of our independent registered public accountants to audit our consolidated financial statements for 2008.
3. To transact such other business as may properly come before the meeting or any adjournments and postponements thereof.
During the meeting, management also intends to provide brief comments on relevant business topics including, among others, the following:
1. Key 2007 accomplishments posturing the company for continuing and accelerated organic growth and growth through acquisition
2. The Company's recent announcement of its agreement to acquire Advanced Control Components, Inc. ("ACC"), how ACC contributes synergistically to EMRISE, the historical revenue and income and its future impact on EMRISE's financial performance and recent actions taken by ACC to possibly accelerate the closing date
3. Plans to reduce acquisition debt
4. Optimistic outlook for base business throughout the remainder of 2008
5. Status of NYSE Arca listing
