Agility-Tristar JV Agrees to Acquire Shell Guam’s Agat Fuel Facilities

ALEXANDRIA, Va.-(Business Wire)-February 16, 2009 - Agility Defense & Government Services (DGS) and Tristar Transport announced an agreement to buy Shell Guam Inc.’s Agat Fuel Facilities.

The bulk-fuel storage and distribution facilities will be operated by Tristar Terminals Guam, a joint venture owned by Agility DGS and Tristar Transport.

The purchase includes 25 bulk-fuel storage tanks with a combined capacity of roughly four million barrels; five miles of pipeline; and receipt-and-issue facilities. Terms were not disclosed.

The acquisition is expected to take up to several months to complete because of administrative and permit requirements. Upon completion of the deal, the joint venture will take possession of the facilities from Shell and begin operating the fuel terminal in Agat, Guam.

Tristar Terminals Guam plans general repairs and refurbishment of the 237-acre facility.

“The acquisition of the Shell Guam facilities strengthens the Agility-Tristar joint venture and our ability to provide fuel logistics support to defense customers,” said Dan Mongeon, president and CEO of Agility DGS. “The additional capacity also allows us to offer bulk-fuel storage and terminal services to commercial customers in the Pacific.”

Eugene Mayne, CEO of Tristar Transport, said: “This move fits with the company’s vision to be a fully integrated global liquid logistics company. Tristar will be looking to leverage this facility to expand its portfolio of wet-stock supply chain solutions to its targeted customers.”

A separate joint venture led by Agility DGS holds contracts to operate and maintain aviation and ground bulk-fuel storage facilities at four U.S. Air Force installations in Asia and three in Europe. The installations are at Andersen Air Force Base, Guam; Kadena Air Base, Okinawa, Japan; Misawa Air Base, Misawa City, Japan; Osan Air Base, South Korea; Ramstein Air Base, Germany; Lajes Field, Azores, Portugal; and Incirlik Air Base, Turkey.
