Entertainment Arts Research, Inc. Announces the Merger of Strait Gate Games, Inc. (California) into Entertainment Arts Research, Inc. as a Wholly-Owned Subsidiary
ATLANTA-(Business Wire)-September 16, 2009 - Entertainment Arts Research, Inc. (EAR) today announced that Strait Gate Games, Inc. (California) (SGG) merged into Entertainment Arts Research, Inc. and continues as a wholly-owned subsidiary.
Originally, EAR entered into an asset purchase agreement with SGG, but after completing an analysis, it was determined that a merger would benefit the shareholders of EAR, subsequent to the rescission of the original agreement, because SGG had earned an excellent reputation in the game development industry. To maximize its revenue potential by utilizing SGG’s name recognition, contacts, contractors and available technical talent that exists in California EAR expects to expand its technical perspectives.
New employment agreements have been executed with Joseph Saulter the Chairman and CEO of the Company as well as Jonathan Eubanks, a board member and President. The Company is discussing the moving of all game development to Los Angeles, to take advantage of SGG’s presence and current business relationships. Corporate headquarters will remain in Atlanta.
